Terms of Service

1. The Service

PostPadi is an AI-powered social media management platform offering content creation tools, scheduling and publishing, multi-channel inbox, analytics, collaboration, and mobile apps. We may modify, improve, or discontinue features at any time.

2. Accounts & Eligibility

• You must be at least 18 and legally able to enter a contract to use the Services.
• Provide accurate registration information and keep it updated. You are responsible for safeguarding your credentials and for all activities under your account.
• We may suspend or terminate accounts for violations of these Terms or applicable laws.

3. Your Content & Permissions

• You retain all rights to the content you submit, schedule, publish, or route through the Services.
• You grant PostPadi a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use your content solely to operate and improve the Services, and to provide support and security.
• You are responsible for securing necessary rights and complying with third-party platform rules for any content you distribute via the Services.

4. Third-Party Platforms & APIs

• To use integrations (e.g., Meta, Instagram, Facebook, X/Twitter, LinkedIn, TikTok, YouTube/Google), you may need to connect your accounts and grant permissions.
• You agree to comply with the applicable platform terms, including YouTube Terms of Service and Google Privacy Policy for features using YouTube API Services.
• PostPadi does not post to your accounts except when initiated by you or your authorized users (e.g., scheduling, queue, or manual publish actions).

5. Acceptable Use

You will not (and will not permit others to):

• Violate laws, platform policies, or third-party rights; transmit unlawful, harmful, deceptive, defamatory, or infringing content.
• Attempt to circumvent rate limits, security controls, or access APIs beyond granted scopes.
• Use the Services to send spam or unsolicited messages or to run fraudulent, misleading, or prohibited campaigns.
• Reverse engineer, decompile, or create derivative works of the Services except as permitted by law.

6. Subscriptions, Trials & Billing

• Paid plans renew automatically unless canceled. You can cancel at any time effective at the end of the current billing period.
• Fees are non-refundable except where required by law. Taxes may apply.
• Payments are processed by third-party processors. We do not store full payment card details.

7. Beta & AI Features

Certain features (including AI) may be offered as beta or pre-release and provided “as is,” may change, or be discontinued. AI outputs can be inaccurate; you are responsible for reviewing content before publishing.

8. Intellectual Property

The Services, including software, UI, and documentation, are owned by PostPadi or our licensors and protected by IP laws. Except for the rights expressly granted, we reserve all rights.

9. Privacy

Your use of the Services is subject to our Privacy Policy. By using integrations, you also agree to relevant third-party platform policies.

10. Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER POSTPADI NOR ITS AFFILIATES OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO POSTPADI FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will indemnify and hold harmless PostPadi, its affiliates, and personnel from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Services, or your violation of these Terms or applicable law.

13. Suspension & Termination

We may suspend or terminate access for violations of these Terms, risk to the Services, legal requirements, or platform policy violations. Upon termination, your license ends and you must stop using the Services.

14. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Material changes will be communicated via the Services or email. Continued use after changes take effect constitutes acceptance.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA (without regard to conflicts of law). Before filing a claim, the parties will attempt good-faith informal resolution for 30 days. If unresolved, disputes will be brought exclusively in state or federal courts located in Texas, and the parties consent to personal jurisdiction and venue there. Where permitted, each party waives class actions and agrees to bring claims only in an individual capacity.

16. Export & Sanctions

You must comply with applicable export control and sanctions laws. You represent you are not subject to any U.S. government list of restricted or prohibited parties.

17. Miscellaneous

• These Terms constitute the entire agreement between you and PostPadi regarding the Services.
• If any provision is unenforceable, the remainder remains in effect.
• You may not assign your rights or obligations without our prior written consent.
• No waiver is effective unless in writing and signed by us.
